So its been 5 years since I built my current machine and I am looking to make some slight upgrades to squeeze out some more performance. I haven't really been keeping up with things so i don't know what is good or bad at this point. Any thoughts would be appreciated as I am mostly looking to be able to run diablo 3 and have it look good. thanks.

I don't know anything about Nvidia cards, haven't had one for at least 10 years, probably more, so can't comment on that aspect. However, the one thing that did scream out at me from your specs was the memory - I'd go for 8GB these days.

I don't know how intensive D3 will actually be. I get the feeling it would run even on your current machine given above. You are nearly at recommended settings. Maybe not all the bells and whistles. I did not get into beta so not sure. I know others are they could probably give you better idea.
I would guess that you could probably just get a 560 ti or something, and be fine for D3 with everything turned on max.

Your Nvidia 680i motherboard doesn't like the 45nm Core 2 Quad processors, so your CPU options are pretty much zero. And probably not really worth buying DDR2 RAM for that either, 4GB shouldn't be hurting you for gaming.
So short of replacing the motherboard, CPU, and RAM all at once, I'd go with a new graphics card. Something like a GTX 560 or 570.
Blizzard games do tend to be CPU heavier than normal though.

I'm in the same boat. My home machine is a 5 1/2 year old Core 2 Duo E6700 (2.66GHz).
I'll be building a new machine with my tax return this year.

I don't think you will see much improvement going to 8GB, but if you have the extra money I guess it's OK.

Possibly not with Diablo, I wouldn't know, but it makes a big difference with loading times in SWTOR, for example.

Unless you are the type of person that keeps dozens of windows/apps/etc open at a time, having more than 4GB of RAM really won't benefit you. Of course, it can't hurt to have 8GB or more in your system, but is it truly worth it? I'm running 6GB in my current machine, but it's because I'm running a motherboard that uses tri-channel RAM so I put 3 2Gig sticks in each slot.

memory is nothing now imo. i have gigs & gigs & gigs of free ram and yet wow's 64-bit client never uses even 1gig. it sticks at about 800-900mb. :\ cpu/gpu is where it's at.
